Abdullah AlZouman

Provided and drafted a number of advices and agreements on JVs and M&A. Abdullah AlZouman notably led the acquisition that took place between a bank and a payment solution company with a total value of 600,000,000 SAR. He also represented a Saudi entity in a cross-border acquisition for the acquisition of a green-tech company in Europe, transaction valued at the time of acquisition at more than 100,000,000 EUR. He also led a number of other local acquisitions in financial solutions, lending, and real estate of total value worth more than a billion SAR. Furthermore, Abdullah AlZouman led the formation of a JV that was articulated between two mega logistic companies, a Saudi and an international one. Under his lead, the work involved the articulation of a JV agreement that stipulated the terms and conditions of the joint venture and the formation of the new company along with its partnership terms and AoA. In addition, he led on behalf of his client the acquisition of a remarkable real estate company in London. The matter involved drafting and preparation of NDA, MoU, Acquisition Agreement and other subsidiary agreements. The aforementioned transactions involved the direct interactions with various governmental bodies such as the Saudi Central Bank (“SAMA”), Ministry of Investment, Ministry of Commerce, General Authority for Competition, Ministry of Foreign Affairs, Ministry of Justice, and the Capital Market Authority.

Supervised and led the legal department of a PIF holding company that holds 17 mega companies. He also conducted various LDDs for various transactions and purposes for his clients, remarkably an LDD for the public listing of a Saudi company valued at nearly 5 billion SAR in the Saudi Exchange Market and another public listing for a company that is worth around 1.8 billion SAR. On a private scale, Abdullah AlZouman provided many LDD reports that aided the completion of private transactions such as stores acquisitions, trademark acquisition, and tangible assets verifications. He also participated in the drafting of the Saudi Mining Law and the review of the final draft before the Ministry of Energy. On the corporate governance side, he drafted and provided many corporate governance regulations and protocols to private and public entities among which is one of the top 4 Saudi football clubs. His work aided the club in getting millions of Saudi Riyals.

Advised and led the incorporation of a substantial number of international companies into Saudi Arabia from jurisdictions across Europe, the Gulf, and Asia — among them several publicly listed companies. Clients span manufacturing, construction, engineering, media, information technology, urban development, energy, and artificial intelligence. Advises on legal form, regulatory approvals, MISA registration, and ongoing compliance.

Appeared before all levels of the Saudi judicial system, including the General Court, the Commercial Court, the Administrative Court, The Committee for Resolution of Securities Disputes, Banking Dispute Committee, the Enforcement Court, and their Appeal Courts and Committees. Among the remarkable claims is a claim valued at 250,000,000.00 SAR before the Committee for the Resolution of Securities Disputes. Another example is a claim for an international client at the Board of Grievances against a state body for a claim of 115,000,000 SAR. Handles an active litigation portfolio encompassing shareholders disputes, real estate and construction matters, contract enforcement, and acquisition-related claims. Represented corporate clients in sports law financial settlement negotiations, securing material reductions in outstanding contractual liabilities valued at more than hundreds of millions of SAR. Abdullah has led and contributed to a number of arbitration matters across a range of sectors, acting in disputes between Saudi entities as well as in proceedings brought by foreign entities against Saudi counterparties. These matters have spanned real estate, retail, partnership and contractual disputes, and trademark-related rights.

Advised clients on local and cross-border banking finances, completing loan facilities, letters of credit, and trade finance arrangements with financial institutions locally and internationally. Represented investors in proceedings arising from failed investment projects, securing full recovery of invested capital.
